The new boar
The new board has been given a mandateto maximize value for all MVG shareholders. The new Board of Directors iscomprised of the following four directors: Jeffrey R Ward, Linda E Misetich,Wesley J Hall and Alexander J.R Grieve In the view of Mr. Ward, the newboard is well positioned to take MVG forward, drawing on the experience of thedirectors and management. The new board will also ensure that MVG's future ispursued in the interests of all shareholders.MVG's management including Miles Bachman, the current president and chieffinancial officer, will remain with the Company, with Mr. Bachman remaining aspresident and assuming the role of chief executive officer.A brief description of the experience of the new board is set out below:- Jeffrey R Ward - Mr. Ward has over 28 years experience in the miningindustry during which time he worked with mining companies around theworld He has a B.Sc in Mining Engineering from the University ofArizona, a M.Sc. in Engineering from the Royal School of MinesUniversity of London and an M.B.A from the University of Chicago.Mr.
Ward is a Nevada Professional Engineer and Chartered Engineerwith the Engineering Council in the U.K Mr. Ward worked withBamangwato Concessions Limited in Botswana as an Underground ShiftBoss, as Chief Mine Engineer with Lithium Corporation of America inNorth Carolina, as a Special Projects Engineer for St. Joe MineralsCorporation in upstate New York, as an Underground Supervisor atMolycorp's Mine in New Mexico and as a consultant with Freeport-Indonesia Mr. Ward was the founding Chairman and Chief ExecutiveOfficer of Ward Mining Company, Kino Copper Company, Cobre MiningCompany Inc and Metallic Ventures Gold Inc.- Linda E Misetich - Ms. Misetich is a partner in the law firm ofFraser Milner Casgrain LLP where she practices securities andcorporate law with a focus on corporate finance, mergers andacquisitions and transactional work Ms.
Misetich represents a broadrange of clients with a particular focus on the mining and resourcesector where she regularly represents issuers and investment dealersin connection with public offerings, private placements, take-overbids, and restructurings. She also regularly provides advice ongeneral corporate and continuous disclosure obligations and otherregulatory compliance matters and has extensive experiencenegotiating securities and other business agreements forcorporations Ms Misetich received her B.A (Hons.) from theUniversity of Toronto and her LL.B from the University of WesternOntario.- Wesley J Hall - Mr. Hall has over 15 years experience in CorporateGovernance and Shareholder Communications Mr Hall started KingsdaleShareholder Services Inc. in 2003 and Kingsdale Communications Inc.in 2009, providing shareholder and investor relations communicationservices Prior to forming Kingsdale, Mr. Hall was Vice President,National Sales for Georgeson Shareholder Communications Canada, Inc.and prior thereto, Senior Manager of CIBC Mellon Trust Company andAssistant Corporate Secretary at CanWest Global Communications Corp.Mr. Hall is a founding board member of the Canadian Society ofCorporate Secretaries (CSCS) and was the CSCS' longest servingPresident Mr.
